Who these terms are with
These Terms of Service (“Terms”) are an agreement between Tidewater Steward Co, LLC, doing business as Wrenmont (“Wrenmont”, “we”, “us”), and the organization that accepts them (the “Customer”). They also bind each person the Customer invites into the platform (a “User”), including portfolio administrators, property managers, field users, owners, and any other role we later add.
By requesting access, signing in, or otherwise using Wrenmont, a User agrees to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind it.
The public website at wrenmontproperty.com, the team application, the owner portal, and the field application at wrenmontproperty.com/field-login are all part of the same service and the same identity model. A separate entrance does not create separate rights.
These Terms do not cover Wrenmont Steward household membership or any other in-person care service offered under a different agreement.
Invitation-only access
Wrenmont is not an open signup product. Access is granted after a personal review. Submitting a request does not create an account, does not create a customer relationship, and does not oblige us to accept the request.
We may refuse, delay, or withdraw an invitation for any reason we consider sufficient, including fit, capacity, security, or the nature of the properties involved.
Each organization is onboarded with help loading at least one property. An empty record is not the intended state of the product.
Accounts, roles, and the Customer’s responsibility
The Customer names an organization administrator who is responsible for:
- inviting and removing Users
- assigning roles (including portfolio admin, property manager, field user, and owner)
- narrowing access to individual properties where a person should not see the rest of the portfolio
- setting sensitivity on items that should be more narrowly held (alarm codes, key locations, security procedures, confidential documents, and similar)
- deciding who may share an executive snapshot link, and revoking those links
- the accuracy of what Users write into the record
Users must keep credentials to themselves, sign in only through the entrance issued to them, and tell the administrator promptly if a device is lost or access should end. The Customer is responsible for its Users’ conduct on the platform.
We may suspend a User or an organization if we reasonably believe the account is compromised, the Terms are being broken, or continued access would put another organization’s record at risk.
What the platform is — and what it is not
Wrenmont is a private operating record: property, zone, system, and asset hierarchy; manuals, warranties, invoices, permits and other documents; vendors; preventive maintenance and service history; contracts and coverage; a knowledge base; capital outlook; projects; owner-facing summaries; a field application; and Ask Wrenmont, which answers from records the asker is permitted to see.
It is a system of record and a working tool. It is not:
- a licensed architectural, engineering, legal, tax, insurance, or environmental opinion
- a life-safety, fire, or security system
- a substitute for a person walking the house
- a guarantee that a forecast, useful life, or replacement estimate is complete
The platform will show gaps when it can. A completeness score, an unverified flag, or a stated assumption is part of the product, not a defect.
The property record and who owns what
As between Wrenmont and the Customer:
- The Customer retains all rights in the content it (and its Users and vendors acting for it) put into the platform: property facts, documents, photos, vendor details, service events, knowledge-base notes, project files, and similar (“Customer Record”).
- We own the platform itself: software, interfaces, models, workflows, documentation, and the way a record is structured.
- We may use de-identified, aggregated operational metrics to keep the service working (for example, reliability, capacity, and whether a workflow is failing). We do not use the contents of a Customer Record to market to anyone else, and we do not sell Customer Records.
The point of the product is continuity: staff change, vendors change, the record does not. That is an operating principle, not a promise that we will retain a copy of a Customer Record after the Customer’s account ends, except as Section 12 and the Privacy Policy describe.
Documents, intake, and untrusted input
Documents may arrive by upload or through a property’s intake address. Extraction reads them and proposes records — a warranty term, a serial number, a vendor, a date. A person must accept or reject each proposal before it becomes part of the authoritative account.
Document content is treated as untrusted input, not as instructions to the system. Do not use intake or upload to submit material you do not have the right to store. The Customer is responsible for the lawfulness of what it places in the record, including documents that contain personal data of household members, staff, or vendors.
Files are stored privately. A file is reached through a short-lived, permission-checked link issued for one request. There is no standing public URL to guess or to leave behind in a forwarded email.
Ask Wrenmont and other machine assistance
Ask Wrenmont answers a plain-language question from the authoritative record the asker is allowed to see. It cites evidence and is built to say when the record is incomplete. The property in question is resolved on the server and is not taken on trust from the browser.
Other machine assistance (including document extraction) proposes; it does not decide. Nothing becomes authoritative until a person accepts it.
Answers can be wrong, partial, or silent on a point the record does not contain. Do not treat an answer as a substitute for reading the cited record, walking the house, or taking advice from a qualified professional. We do not warrant that any generated answer is complete or error-free.
Do not use Ask Wrenmont or extraction to attempt to reach another organization’s record, to bypass a role, or to extract access codes or other sensitive items the asker is not entitled to see. The same permission model applies to a typed question as to a page in the application.
Field application
The field application is a different door into the same record: scan equipment, look up a shutoff, capture a photograph, close a task, log an inspection. It is designed for one hand and poor signal. It does not grant rights the User does not already have.
The Customer must treat field devices as carefully as the contents they can surface. Shared crew phones, unlocked screens in a mechanical room, and forwarded photographs of codes or keys are a Customer responsibility.
On-site Record Build and other professional services
When we (or a person we send) attend a property to establish or deepen the record — the white-glove Record Build — that work is a professional service. Scope, price, travel, and the number of days on site are set in a separate order or statement of work, not by these Terms alone.
The Customer must arrange lawful access to the property, warn us of hazards, and obtain any consent needed from owners, family, staff, or tenants before we photograph, inspect, or copy documents.
What is written into the record during that visit becomes part of the Customer Record and is governed by these Terms and the Privacy Policy. We do not take ownership of the house, its keys, or its documents.
Guided remote builds, annual stewardship of the record, and travel outside our ordinary corridor are likewise separate professional services when offered.
Fees, taxes, and invoices
Subscription fees, seat limits, property limits, and any professional-service fees are those we quote to the Customer (on an order, invoice, or other written confirmation). The public website does not itself create a price.
Unless an order says otherwise, subscriptions renew at the end of the stated term until cancelled under Section 12. Annual terms, when offered, are billed as we state on the order.
Fees are exclusive of taxes. The Customer is responsible for taxes that apply to its purchase, other than taxes on our income.
Unpaid amounts may result in suspension. Suspension does not erase the Customer Record; it pauses access until the account is in order or these Terms end.
Term, suspension, and what happens to the record
These Terms begin when the Customer first receives access and continue until either party ends them.
The Customer may stop using the service and ask us to close the organization account. We may end the agreement for convenience with notice, or immediately if the Customer materially breaks these Terms, fails to pay, or presents a security risk to the platform or to another organization.
Before an account is closed we will, on written request and for a reasonable period, make a commercially reasonable export of the Customer Record available to the administrator — typically structured data plus the documents the organization uploaded. An export is not a running copy of the application.
After the export window we may delete or irreversibly de-identify the Customer Record from production systems, except copies we must keep for security logs, legal obligation, dispute, or backup rotation, which we retain only as long as that purpose requires.
Append-only audit entries exist so a record can be trusted while the account is live. They are not a promise that we will preserve an audit trail for the Customer after deletion.
Acceptable use
No User may:
- attempt to reach another organization’s record, or to widen a role the Customer has not granted
- probe, scan, or burden the service in a way that is not ordinary use
- upload malware, or treat document intake as a way to instruct the system
- use the platform to track a person in a way the law does not allow
- resell, white-label, or republish the service except as an order expressly allows (owner-portal branding, where offered, is not a resale)
- scrape, harvest, or train a model on the platform or on another Customer’s content
- put children under 16 on the platform as Users; this service is built for adult operators of significant homes
We may remove material or suspend access when we reasonably believe this section has been broken.
Confidentiality
Each party may see confidential information of the other. The receiving party will use it only to perform under these Terms and will not disclose it except to people and processors who need it and are bound to keep it close.
The contents of a Customer Record are the Customer’s confidential information. Our pricing, unpublished product plans, and the non-public design of the platform are ours.
This section does not block a disclosure the law requires, provided the receiving party gives notice where lawful.
Privacy
Our Privacy Policy explains how we handle personal data. It is part of how we operate the service. If there is a conflict about personal data, the Privacy Policy controls on that subject.
Third-party services
The platform runs on infrastructure and processors we do not own, including hosting, database, authentication, file storage, email, payments, and model providers used for extraction and Ask Wrenmont. Their failure or change can affect the service. We are not responsible for a third-party service we do not control, except to the extent the law does not let us say so.
Payment processing, when used, is handled by our payments provider. We do not store full card numbers on our own systems.
Intellectual property and feedback
We and our licensors retain all rights in the platform. These Terms grant the Customer a limited, non-exclusive, non-transferable right to use the platform for the Customer’s own properties during the term, within the seats and properties on the order.
If a User sends us a suggestion, we may use it without obligation.
Warranties and disclaimer
We will provide the service with reasonable care and skill, and we will not knowingly introduce malicious code.
Otherwise the platform and any professional services are provided as-is. We disclaim implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, and non-infringement, to the extent the law allows. We do not warrant that the record is complete, that Ask Wrenmont is correct, that the service will be uninterrupted, or that a capital forecast will match what a house later costs.
Indemnity
The Customer will defend and indemnify Wrenmont against claims that arise from: Customer Record content; a User’s misuse of the platform; a snapshot link the Customer issued; our presence on a property at the Customer’s request, except to the extent caused by our gross negligence or willful misconduct; or the Customer’s breach of these Terms.
We will defend and indemnify the Customer against a third-party claim that the platform, used as we supply it, directly infringes that party’s intellectual-property right, except where the claim is caused by Customer Record content, a combination we did not supply, or use outside these Terms. If such a claim is brought we may modify the service, obtain a license, or end the affected portion and refund a prepaid unused fee.
Limitation of liability
To the extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost records the Customer did not export, or replacement-cost estimates that prove wrong.
Our total liability arising out of these Terms is limited to the fees the Customer paid us for the service in the twelve months before the claim. This cap does not apply to a party’s fraud, willful misconduct, or a liability the law does not let us limit.
The platform holds facts a household may treat as sensitive. The Customer remains responsible for how widely it grants roles, how it sets sensitivity, and how it handles field devices and snapshot links.
Changes
The product will change. If we change these Terms in a way that materially reduces the Customer’s rights, we will give notice through the service or by email to the administrator. Continued use after the effective date is acceptance. If the Customer does not accept a material change it may close the account under Section 12.
Governing law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules. The state and federal courts sitting in Virginia have exclusive jurisdiction, except that we may seek injunctive relief in any court to protect the platform or another organization’s record.
General
These Terms, the Privacy Policy, and any order or statement of work are the entire agreement for the platform. If a court finds one clause unenforceable the rest still applies. A waiver has to be written. The Customer may not assign the agreement without our consent, except to a successor that takes on the same properties and obligations. We may assign it to an affiliate or to a buyer of the business. Notices to us go to office@tidewatersteward.com and, if we give the Customer a postal address, to that address in Williamsburg, Virginia.
